1. Acceptance of Terms

By accessing or using the XealBrax website (https://xealbrax.com), free AI tools, consulting services, private creator community, member portal, or related features (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Services.

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

2. Eligibility

You must be 18 years of age or older to use the Services. By creating an account or submitting a form, you confirm that you meet this age requirement. We do not knowingly allow users under 18 to create community accounts.

3. Account Registration & Security

Some features require Telegram verification and accurate account information. You are responsible for maintaining control of your Telegram account and any one-time verification codes used to access your account. You must not share verification codes, allow others to access your account, or create accounts on behalf of another person without authorization.

You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

4. Description of Services

XealBrax provides website visibility tools, SEO resources, product listing optimization tools, consulting services, and a private creator community. The creator community is designed for moderated collaboration, useful feedback, visibility requests, contribution credits, and private verification reviews.

XealBrax does not provide bots, fake followers, automated engagement, artificial interaction systems, or guaranteed social media results.

5. Free Tools

Our free tools may generate SEO audits, title tag ideas, meta description ideas, product listing suggestions, and related recommendations. Tool outputs are informational and should be reviewed before implementation. We do not guarantee rankings, sales, traffic, conversions, or platform approval.

6. Private Creator Community

The XealBrax Creator Community is a private, moderated member space. Members may participate in visibility requests, submit private verification materials, and receive internal contribution credits when submissions are approved. Community participation must be authentic, lawful, and compliant with the rules of any third-party platform involved.

Private verification submissions, screenshots, member activity, and account information are not intended to be public proof walls or public member feeds.

7. Community Rules

You must follow our Community Rules, which are incorporated into these Terms. Any violation may result in verification rejection, credit adjustment, feature restriction, account suspension, or termination.

8. Prohibited Activities & Account Suspension

XealBrax reserves the right to suspend, restrict, or permanently terminate access to the platform, community spaces, tools, or services at its sole discretion where necessary to protect platform integrity, user safety, legal compliance, or service reliability.

Prohibited activities include, but are not limited to:

• Fake engagement or artificial interaction schemes
• Bots, scripts, or unauthorized automation
• Spam or unsolicited promotions
• Vote manipulation, review manipulation, or engagement manipulation
• Fake, misleading, or altered verification submissions
• Impersonation or identity misrepresentation
• Harassment, abuse, threats, or hate speech
• Fraud, deceptive conduct, or scams
• Chargeback abuse or payment disputes made in bad faith
• Selling, transferring, or sharing accounts or access credentials
• Scraping, copying, or extracting platform or community data without authorization
• Distributing malicious software, harmful links, phishing attempts, or malware
• Attempts to manipulate recognition levels, contribution credits, visibility requests, or platform systems
• Violations of third-party platform rules, including social media platform policies
• Attempts to bypass moderation, verification, security, or enforcement systems
• Use of the platform by individuals under 18 years of age
• Illegal or unauthorized activity under applicable laws or regulations

XealBrax may investigate suspected violations and take appropriate action without prior notice, including content removal, verification rejection, restriction of platform features, temporary suspension, permanent account termination, and reporting unlawful activity to relevant authorities where required.

9. Contribution Credits & Visibility Requests

Contribution credits are internal, non-cash community credits. They have no monetary value, are not transferable, and cannot be sold, exchanged, redeemed for cash, or treated as financial assets. Credits may be awarded when private verification submissions are approved and may be deducted when a member submits a visibility request.

We reserve the right to adjust, cancel, remove, or reverse credits if they were awarded in error, obtained through prohibited activity, or connected to rejected or invalid verification submissions.

10. Paid Services & Refund Policy

Our free tools and private community may be provided at no cost. Paid consulting services, including SEO, performance marketing, website optimization, WordPress support, and related services, are priced after consultation and based on the agreed scope of work.

• Free Tools: No refunds apply because no payment is required.
• Consultation / Custom Services: Deposits paid before work begins may be refundable at our discretion if no substantial work has been performed. Once work has commenced, payments are non-refundable for completed work, time spent, research, strategy, implementation, or delivered materials.
• Digital Deliverables: Digital deliverables are non-refundable once delivered.
• Future Subscription / SaaS Products: Separate billing and cancellation terms may apply and will be published when those products become available.

11. Intellectual Property

All content, tools, code, graphics, designs, documentation, brand assets, and materials provided on the XealBrax website or through the Services are owned by or licensed to XealBrax and are protected by intellectual property laws. You may not reproduce, distribute, resell, scrape, copy, or create derivative works without our express written permission.

12. User Content

You are responsible for any content, links, profile information, screenshots, text, or materials you submit through the Services. You confirm that you have the right to submit such content and that it does not violate any law, third-party right, or platform rule.

By submitting content, you grant XealBrax a limited license to process, store, review, display internally, and use that content as necessary to provide the Services, moderate the community, and enforce these Terms.

13. Third-Party Links & Services

Our Services may link to or integrate with third-party platforms and services, including Telegram, Instagram, TikTok, X, LinkedIn, YouTube, Google, Calendly, Brevo, hosting providers, analytics services, and future payment providers. We are not responsible for their content, policies, terms, availability, or decisions. Your use of third-party platforms is subject to their own terms and policies.

14. Disclaimer of Warranties

The Services are provided “as is” and “as available,” without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted, error-free, secure, or compatible with every browser, device, plugin, or third-party platform.

We do not guarantee rankings, traffic, revenue, followers, engagement, comments, social media growth, ad performance, Core Web Vitals scores, or search engine results.

15. Limitation of Liability

To the fullest extent permitted by law, XealBrax and its owners, officers, contractors, employees, and agents shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, business interruption, platform suspension, or reputational harm arising from your use of or inability to use the Services.

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or if you paid no fees, one hundred U.S. dollars ($100).

16. Indemnification

You agree to indemnify and hold harmless XealBrax, its affiliates, and their respective owners, officers, contractors, employees, and agents from any claims, damages, losses, liabilities, or expenses arising out of your use of the Services, your submitted content, your violation of these Terms, your violation of third-party platform rules, or your infringement of any third-party rights.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Lagos, Nigeria.

18. Termination

You may stop using the Services at any time. We may suspend or terminate your account or access to any part of the Services at any time, with or without prior notice, where necessary to protect platform integrity, legal compliance, service reliability, user safety, or our business interests.

Upon termination, your right to use the Services will immediately cease. Contribution credits, visibility requests, verification records, account access, and community privileges may be removed or restricted.

19. General Provisions

These Terms, together with our Privacy Policy, Cookie Policy, and Community Rules, constitute the entire agreement between you and XealBrax regarding the Services. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right does not constitute a waiver.
