1. Acceptance of Terms

By accessing or using the XealBrax website (https://xealbrax.com), free AI tools, WordPress plugins, consulting services, private creator community, member portal, or related features (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”) with Banfronix Ltd, the legal entity operating XealBrax. If you do not agree, you must not use the Services.

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

2. Eligibility

You must be 18 years of age or older to use the Services. By creating an account, downloading our software, or submitting a form, you confirm that you meet this age requirement. We do not knowingly allow users under 18 to create community accounts.

3. Account Registration & Security

Access to the private community requires secure user credentials, password validation, and platform handle confirmation. You are responsible for choosing a strong password, maintaining control of your login credentials, and keeping your session tokens secure. You must not share your credentials, allow others to access your account, or create accounts on behalf of another person without explicit authorization.

You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

4. Description of Services

XealBrax provides website visibility tools, downloadable WordPress software (plugins), SEO resources, product listing optimization tools, consulting services, and a private creator community. The creator community is designed for moderated collaboration, useful feedback, visibility requests, contribution credits, and private verification reviews.

We do not provide bots, fake followers, automated engagement, artificial interaction systems, or guaranteed social media results.

5. Software Plugins & BYOK (Bring-Your-Own-Key) Tools

Our downloadable software, such as the XealBrax AI Auto Blogging Engine, operates on a Bring-Your-Own-Key (BYOK) architecture. By using these plugins, you acknowledge and agree to the following:

• API Costs and Limits: You are solely responsible for creating your own accounts with third-party API providers (e.g., DeepSeek, Fal.ai), securing your API keys, and paying all usage costs billed directly by those providers. XealBrax does not subsidize, mediate, or accept liability for your third-party API billing.
• Content Responsibility: Artificial Intelligence can produce inaccurate, incomplete, or inappropriate content. You are solely responsible for reviewing, editing, and publishing any content or images generated by our plugins on your website.
• No Guarantee of API Uptime: The plugin relies on external third-party servers. We cannot guarantee that these third-party APIs will remain available, fast, or error-free.

6. Private Creator Community

The XealBrax Creator Community is a private, moderated member space. Members may participate in visibility requests, submit private verification materials, and receive internal contribution credits when submissions are approved. Community participation must be authentic, lawful, and compliant with the rules of any third-party platform involved.

Private verification submissions, screenshots, member activity, and account information are not intended to be public proof walls or public member feeds.

7. Community Rules

You must follow our Community Rules, which are incorporated into these Terms. Any violation may result in verification rejection, credit adjustment, feature restriction, account suspension, or termination.

8. Prohibited Activities & Account Suspension

Banfronix Ltd reserves the right to suspend, restrict, or permanently terminate access to the platform, community spaces, tools, or services at its sole discretion where necessary to protect platform integrity, user safety, legal compliance, or service reliability.

Prohibited activities include, but are not limited to:

• Fake engagement or artificial interaction schemes
• Bots, scripts, or unauthorized automation
• Spam or unsolicited promotions
• Vote manipulation, review manipulation, or engagement manipulation
• Fake, misleading, or altered verification submissions
• Impersonation or identity misrepresentation
• Harassment, abuse, threats, or hate speech
• Fraud, deceptive conduct, or scams
• Chargeback abuse or payment disputes made in bad faith
• Selling, transferring, or sharing accounts or access credentials
• Scraping, copying, or extracting platform or community data without authorization
• Distributing malicious software, harmful links, phishing attempts, or malware
• Attempts to manipulate recognition levels, contribution credits, visibility requests, or platform systems
• Violations of third-party platform rules, including social media platform policies
• Attempts to bypass moderation, verification, security, or enforcement systems
• Use of the platform by individuals under 18 years of age
• Illegal or unauthorized activity under applicable laws or regulations

We may investigate suspected violations and take appropriate action without prior notice, including content removal, verification rejection, restriction of platform features, temporary suspension, permanent account termination, and reporting unlawful activity to relevant authorities where required.

9. Contribution Credits & Visibility Requests

Contribution credits are internal, non-cash community credits. They have no monetary value, are not transferable, and cannot be sold, exchanged, redeemed for cash, or treated as financial assets. Credits may be awarded when private verification submissions are approved and may be deducted when a member submits a visibility request.

We reserve the right to adjust, cancel, remove, or reverse credits if they were awarded in error, obtained through prohibited activity, or connected to rejected or invalid verification submissions.

10. Paid Services & Refund Policy

Our free tools, free plugins, and private community may be provided at no cost. Paid consulting services, premium plugin tiers, and software licenses are priced based on the agreed scope of work or published pricing tier.

• Free Tools & Plugins: No refunds apply because no payment is required.
• Premium Software/Plugins: Purchases of premium plugin licenses (e.g., SEO Launch or SEO Growth tiers) are subject to the specific refund period outlined at checkout (e.g., a 14-day money-back guarantee, where applicable). If a refund is processed, the premium license key will be revoked immediately.
• Consultation / Custom Services: Deposits paid before work begins may be refundable at our discretion if no substantial work has been performed. Once work has commenced, payments are non-refundable for completed work, time spent, research, strategy, implementation, or delivered materials.

11. Intellectual Property & Licensing

All website content, web tools, custom code, graphics, designs, documentation, brand assets, and materials provided on the XealBrax website are owned by or licensed to Banfronix Ltd and are protected by intellectual property laws. You may not reproduce, distribute, resell, scrape, copy, or create derivative works of the website material without our express written permission.

WordPress Plugin License: In compliance with the WordPress.org repository guidelines, the core PHP, HTML, and integrated code of our WordPress plugins (such as the XealBrax AI Auto Blogging Engine) are licensed under the GNU General Public License v2.0 (or later). This license grants you the freedom to use, modify, and distribute the software as outlined in the GPL.

12. User Content

You are responsible for any content, links, profile information, screenshots, text, or materials you submit through the Services. You confirm that you have the right to submit such content and that it does not violate any law, third-party right, or platform rule.

By submitting content, you grant Banfronix Ltd a limited license to process, store, review, display internally, and use that content as necessary to provide the Services, moderate the community, and enforce these Terms.

13. Third-Party Links & Services

Our Services may link to or integrate with third-party platforms and services, including third-party AI APIs (DeepSeek, Fal.ai), Instagram, TikTok, X, LinkedIn, YouTube, Google, Calendly, Brevo, hosting providers, analytics services, and future payment providers. We are not responsible for their content, policies, terms, availability, or decisions. Your use of third-party platforms, APIs, and tools is strictly subject to their own terms and acceptable use policies.

14. Disclaimer of Warranties

The Services, including all web tools and downloadable software, are provided “as is” and “as available,” without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted, error-free, secure, or compatible with every browser, device, hosting environment, or third-party platform.

We do not guarantee rankings, traffic, revenue, followers, engagement, comments, social media growth, ad performance, Core Web Vitals scores, or search engine results.

15. Limitation of Liability

To the fullest extent permitted by law, Banfronix Ltd and its owners, officers, contractors, employees, and agents shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, third-party API costs, business interruption, platform suspension, SEO penalties, or reputational harm arising from your use of or inability to use the Services or our software.

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or if you paid no fees, one hundred U.S. dollars ($100).

16. Indemnification

You agree to indemnify and hold harmless Banfronix Ltd, its affiliates, and their respective owners, officers, contractors, employees, and agents from any claims, damages, losses, liabilities, or expenses arising out of your use of the Services, your generated AI content, your submitted content, your violation of these Terms, your violation of third-party platform or API rules, or your infringement of any third-party rights.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Lagos, Nigeria.

18. Termination

You may stop using the Services at any time. We may suspend or terminate your account or access to any part of the Services at any time, with or without prior notice, where necessary to protect platform integrity, legal compliance, service reliability, user safety, or our business interests.

Upon termination, your right to use the Services will immediately cease. Contribution credits, visibility requests, verification records, account access, premium software licenses, and community privileges may be removed or restricted.

19. General Provisions

These Terms, together with our Privacy Policy, Cookie Policy, and Community Rules, constitute the entire agreement between you and Banfronix Ltd regarding the Services. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right does not constitute a waiver.
